These Terms of Service (“Terms”) are part of a legally binding agreement that governs your access to and use of Rsrvs’s website located at rsrvs.com (“Site”). The Site is operated by HMLTN RESERVES PTE LTD, a member of HMLTN, and any references to “rsrvs”, “we”, “us”, or “our” shall mean HMLTN RESERVES PTE. LTD., and where applicable, HMLTN Global and its affiliates.

By accessing or using the Site, you acknowledge that you have read, understood, and accept to be bound by all the applicable Terms and further acknowledge that you have read, and understood our Privacy Policy. We strongly encourage you to review the Privacy Policy in detail to understand how we collect, use, disclose, and protect your personal data.

If you do not agree to these Terms, you must not access or use the Site. Please read the Terms carefully before accessing or using the Site. You can find them herein.

If you are accessing or using the Site on behalf of a sole trader, company or other legal entity (“User Entity”), you represent and warrant that you have the authority to bind such User Entity to these terms. In such cases, the terms “you” or “your” shall refer to the User Entity. If you do not have the legal authority to bind the User Entity, you must not accept these Terms or access or use the Site.

We may, at our discretion, amend and update these Terms from time to time. Such updated Terms shall take effect immediately upon being posted on the Site. Your continued use of the Site following any such notifications, whether or not you have read them constitute as you accepting to be bound by these new Terms.

1. rsrvs Service Overview

OVERVIEW

The Site serves as an online marketplace connecting individuals or businesses wishing to provide food and experiences related products and services (“Chefs”) with those seeking to consume such products or services (“Foodies”). Rsrvs only facilitates these interactions and is not a party or signatory to any agreement formed between Users. We do not own, inspect, or store any items listed on the Site.

Rsrvs encourages healthy food consumption, and safe food handling and preparation as well as sustainability and general safety. However, we do not guarantee the quality, nor do we ensure that any listed item meets any particular health and safety standard or any licensing and regulatory requirements that may apply to the Chefs providing the product, experiences and services.

Rsrvs does not verify, supervise, or guarantee the existence, quality, safety, or legality of any items advertised; nor the truth or accuracy of listings or User Content; nor the ability of Chefs to provide the products and services; nor the ability of Foodies to pay for items.

We make no representations or warranties regarding the volume or suitability of opportunities that may be found through the Site. We do not guarantee any level of business or income, and you agree that you are solely responsible for any outcomes or results arising from your use of the Site.

2. User Accounts

USER ACCOUNTS

To access or use the Site, you must register for an account. By doing so, you agree to provide us with a valid e-mail address and ensure that all required information you provide to us is accurate, genuine, and up-to-date. You are solely responsible for all activity undertaken in respect of that account. Your account may be personal or set up as a User Entity. If you create an account as a User Entity, you confirm that you will remain solely responsible for all activity undertaken in respect of that account.

By registering for an account, you confirm that you are:

at least 18 years old and legally capable of entering into binding contracts; not restricted from receiving or providing services under any applicable laws; not suspended from using the site; and not subject to economic sanctions or trade restrictions imposed by the United States, European Union, or any other applicable jurisdiction.

If you register for an account as a Chef, you further confirm and warrant (“Chefs Authorizations”) that you: have the necessary rights, permissions, and/or licenses to provide, sell, or resell the items you offer on the Site and comply with all the safety standards and regulations. .

We reserve the right (but have no obligation) to verify, if applicable, your identity or credentials. Should we determine, in our sole discretion, that any information you have provided is misleading, inaccurate, or otherwise in violation of these Terms, we may suspend or terminate your account.

VERIFICATION

To ensure your account is genuine, we may, directly or through third parties, conduct any inquiries we consider necessary. Accordingly, you agree to provide us, upon request, information that will allow us to reasonably verify your identity and confirm that your account is genuine. Such information may include, but is not limited to, the following:

copies of identification documents (such as bank statements, passport or driving license) copies of documents verifying chefs Authorizations

Furthermore, you also agree to participate, upon request, in a video interview to verify any information provided in your account or on the Site.

We may, at our absolute discretion, refuse, suspend, or terminate any account, and restrict any User or User Entity from accessing or using the Site if there are any breach of provisions under these Terms. We may investigate any violations of these Terms and, where necessary, suspend or terminate your account. If your account remains inactive for the period of six (6) months, we shall further have absolute discretion to terminate your account.

3. Purchase of Items

PURCHASE OF ITEMS (PRODUCTS / EXPERIENCES)

When a Foodie requests to purchase an item or procure services from a Chef, and the Chef accepts, both parties enter into a separate, legally binding agreement (“Contract”). This Contract governs all terms of the item, including fees, security deposits (if any), pickup or delivery arrangements, return conditions, and any other mutually agreed provisions. Rsrvs is not a party to any Contract and does not supervise or direct any Chef’s items or business practices.

Chefs alone are responsible for describing their items accurately and ensuring they are safe, legal, and in working order. Foodies acknowledge that consuming the items, whether product (food) or services (experiences), involves inherent risks, and Rsrvs does not warrant or guarantee the condition, functionality, or suitability of any item for a particular purpose. Any claim or dispute regarding damage, loss, or malfunction must be resolved directly between the Chef and Foodie.

4. User Obligations

USER OBLIGATIONS

Notwithstanding Section 2 of these Terms, you confirm that you will not, under any circumstances, transmit or submit to the Site, any software, data, reports, text, images, audio, video, and other materials (“Content”) that:

is illegal or promotes illegal activity; defames, harasses, threatens, or incites violence against any person or group; is discriminatory, pornographic, or sexually explicit; relates to child exploitation in any form; constitutes spam or unsolicited advertising; contains malware, viruses, or any harmful code designed to disrupt or gain unauthorized access to data or systems/; infringes on any intellectual property rights, including copyrights, trademarks, and trade secrets; impersonates another person or entity; and violates privacy rights or publishes sensitive personal information without consent.

We may allow Foodies and Chefs to rate and review each other following the completion of a transaction. While we do not censor such reviews as a matter of policy, we reserve the right to remove or edit feedback that we deem to be abusive, deceptive, or in violation of these Terms. You agree that reviews posted on the Site are opinions of their respective authors, and we shall not be liable for any claims or damages arising from posted reviews.

SAFE AND LAWFUL USE OF ITEMS Chefs: You warrant that you and your items comply with applicable laws, are reasonably accurately disclosed, and will be provided in a safe and usable condition.

Foodies: You agree to use any item only in accordance with its intended purpose, to follow all usage instructions or warnings, and be aware and responsible for your own dietary restrictions/ preferences, including any allergen and hold Rsrvs harmless for any harm whether through food consumptions or experiences.

5. Intellectual Property

INTELLECTUAL PROPERTY

We own and retain all rights, title, and interest in and to the Site. This includes all intellectual property and proprietary rights, whether registered or unregistered, as well as, all Content that are made available to you on the Site through us. Except for the limited rights expressly granted to you under these Terms, we reserve all other rights in or to the Site and Content. You confirm that you will not sublicense, resell, rent, lease, transfer, assign, or otherwise commercially exploit the Site or any Content.

USER CONTENT We do not own any of the content that is submitted by you on the Site (“User Content”). However, by submitting User Content, you grant us a non-exclusive, irrevocable, and royalty-free license to use, reproduce, distribute, modify, adapt, translate, publish, publicly display, User Content on the Site. We may monitor the Site and User Content and hold absolute discretion to remove any User Content if they go against the Terms. We will have no liability to you for any corruption, deletion, destruction, or loss of any User Content.

Unless otherwise agreed in writing, Chefs retain all ownership rights in their listed items. No transfer of ownership occurs as a result of a transaction. Any content submitted by Users, including item descriptions, reviews, and photos, may be used by Rsrvs under a non-exclusive, irrevocable, royalty-free license for the operation and marketing of the Site.

THIRD-PARTY CONTENT The Site may include content originating from third parties who are not registered users (“Third-Party Content”). This may include blog posts, advertisements, links to external websites, and integrations with third-party services. We do not control, endorse, or assume responsibility for any Third-Party Content, including its accuracy, reliability, legality, privacy practices, or policies. By accessing or interacting with Third-Party Content, you confirm that you are doing so at your own risk. We do not monitor, verify, or guarantee the quality, appropriateness, or completeness of any Third-Party Content. If you choose to navigate to an external website or install third-party applications, you acknowledge that our Terms no longer apply, and you are solely responsible for reviewing the terms and privacy policies of those third-party services.

6. Payment and Fees

PAYMENTS AND FEES

Rsrvs’ fee structure is straightforward. We assess a flat 20% platform fee on every Seller’s transaction. We may, at our discretion, amend, update or introduce new fees from time to time. Such updated fees schedule shall take effect immediately upon being posted on the Site or other means of communication channel/ notification to the Users.

We may charge Chefs and Foodies a marketplace platform or listing fee, and/or foodies a service fee, for transactions completed through the Site. The applicable fees, if any, will be displayed prior to checkout. By proceeding, you agree to pay these fees, which are non-refundable unless otherwise stated.

All payments between Users for items arranged through the Site must be conducted via the Site’s payment methods. Engaging in or requesting off-platform payments may result in account suspension or termination. Additionally, If we determine, in our sole discretion, that a Foodie and Chef have deliberately circumvented our payment system, we may charge a non-circumvention fee equivalent to 20% of the total contract value, in addition to suspending or terminating the accounts involved.

All payments made through the Site are final and non-refundable unless otherwise required by law. Refunds may be issued at Rsrvs’s discretion only in cases where an item was unavailable or materially different from its description. Refund requests must be submitted within 5 business days of transaction date, via an application to hello@rsrvs.com.

While we may facilitate payment transfers, we are not a bank, payment institution, or fiduciary, and we do not hold funds on any User’s behalf in a trust or escrow capacity. Any funds processed through our payment methods are not insured by us, and no fiduciary relationship is created by your use of these payment methods.

You are solely responsible for determining any tax obligations arising from your use of the Site, including the collection or remittance of any value-added tax, goods and services tax, or other applicable taxes. We do not provide tax advice, and we shall not be liable for any User’s failure to comply with local tax laws.

7. Limitation of Liability

LIMITATION ON LIABILITY

We provide the Site, our Services, and any content therein on an “AS IS” and “AS AVAILABLE” basis, without any warranty of any kind—whether express, implied, or statutory. To the fullest extent permitted by law, we specifically disclaim any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or its content will meet your expectations, be uninterrupted, secure, or error-free.

Rsrvs does not endorse any chef, foodie, or item listed on the Site. We do not verify or guarantee that any item is safe, lawful, or free from defects. Chefs bear full responsibility for ensuring their items comply with applicable laws (including safety standards), and Foodies agree to inspect or inquire about an item’s condition before use. It is also Foodie’s responsibility to inquire and be aware of any dietary restrictions, preferences and allergies. Rsrvs disclaims any liability for injuries or damages arising from the consumption or use of any items listed on the Site.

Rsrvs specifically disclaims liability for injuries or damage arising from the use or misuse of any item. You acknowledge that the selection, consumption, and use of items is at your own risk, and you assume all liability for any injuries, damages, or losses incurred. We do not inspect items or confirm that they are fit for your particular purpose.

Rsrvs is not responsible for any damage to, loss of, arise from the transactions on the marketplace between the Chefs and the Foodies. While Rsrvs may assist, Rsrvs is not obligated to arbitrate or mediate liability disputes; all claims and remedies must be addressed directly between the Chef and Foodie.

Rsrvs does not provide insurance coverage for items or for injuries/damages that occur in connection with a transaction. Chefs and foodies are responsible for obtaining any insurance deemed necessary (e.g., property, liability) to protect against potential losses or claims. Rsrvs is not liable for any claims, losses, or disputes related to third-party insurance policies

We, and the Site, act solely as facilitators, and are not a party or signatory to any agreements made between Users transacting through the provision of Our Services. We do not engage in commercial transactions, nor are we involved in any commercial agreements made between Users. We only charge a commission when Users transact with each other. As consideration for Our Services, you agree that we are not liable for any incidental, consequential, indirect, special, punitive, or exemplary damages, including, but not limited to, any claims, damages, loss of business, loss of profits, or other economic losses arising from or related to Our Services, or these Terms. This includes, without limitation, your use or inability to use the Site, Content, or proprietary information, as well as any service interruptions or disruptions. As some jurisdictions may not allow for the limitations of liability as established above, in the event that these limitations do not apply, our liability will be limited as far as legally possible or to the maximum extent permitted by law.

8. Indemnification

INDEMNIFICATION

You agree to indemnify and hold us harmless from any claims, demands, liabilities, damages, losses, costs, or expenses, including any legal fees and costs, arising from or related to your breach of these Terms, or use of the Site or Our Services as well as any violation of laws or infringement of third-party rights in connection with your access and use of the Site or Our Services.

9. Assignability

ASSIGNABILITY

You may not assign or delegate any rights or obligations under these Terms without our prior written consent, which may be withheld at our sole discretion. Any attempted assignment without such consent shall be deemed null and void. We may assign or delegate these Terms, in whole, or in part, to any person or legal entity at any time, with or without your consent.

10. Dispute

DISPUTES

These Terms and any dispute arising out of or in connection with them (including any question regarding their existence, validity, or termination) shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict-of-laws principles. Before commencing any legal action, the parties shall make all reasonable, good-faith efforts to resolve their dispute informally. If the dispute cannot be resolved by mutual agreement within a reasonable period, the parties submit to the non-exclusive jurisdiction of the Singapore courts for the resolution of any claim arising under or relating to these Terms or to your use of the Site.

11. Agreement and Contact

By using Rsrvs, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree, you must cease using the Site immediately.
